1. Definitions

  • "Service" means the InvoxZero platform, including web interfaces, APIs, invoice generation, PDF rendering, automation features, and related services.
  • "Licensor", "We", "Us" means the operator of InvoxZero.
  • "User", "You" means any individual or entity using the Service.
  • "Content" means all data submitted to the Service, including invoice details, customer data, tax identifiers, and documents.
  • "Personal Data" has the meaning given in Regulation (EU) 2016/679 (GDPR).

2. Acceptance of Terms

By accessing or using InvoxZero, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

3. Description of the Service

InvoxZero provides tools to generate invoices, PDFs, and related documents based on information supplied by the User. The Service is a technical facilitation tool only.

4. No Legal, Tax, or Accounting Advice

InvoxZero does not provide legal, tax, accounting, or regulatory advice. Any templates, calculations, or outputs are provided for convenience only.

You are solely responsible for verifying that invoices and documents generated comply with applicable laws, VAT rules, tax regulations, and industry requirements in all relevant jurisdictions.

5. Right to Use the Service

Subject to these Terms, We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for lawful purposes.

6. Acceptable Use & API Restrictions

  • No unlawful, deceptive, or fraudulent use.
  • No generation of false, misleading, or non-compliant invoices.
  • No attempt to evade taxes, reporting obligations, or audits.
  • No resale, sublicensing, or offering the Service as a competing product.
  • No excessive API usage beyond documented limits.

7. Suspension & Termination

We may suspend or terminate access immediately if:

  • You breach these Terms;
  • Your usage poses security, legal, or operational risk;
  • You exceed usage limits or abuse the API;
  • Payments are reversed, overdue, or fraudulent.

8. User Content & Responsibility

You retain ownership of your Content. You represent and warrant that:

  • You have all rights to submit the Content;
  • The Content is accurate and lawful;
  • You have a valid legal basis to process any Personal Data.

9. Data Protection & GDPR

For purposes of GDPR, you are the Data Controller and InvoxZero acts as a Data Processor with respect to Personal Data processed on your behalf.

Processing is performed solely to provide the Service and in accordance with documented instructions from the User.

Appropriate technical and organisational measures are implemented to protect Personal Data. Sub-processors may be engaged as required for infrastructure, hosting, or email delivery.

A Data Processing Addendum ("DPA") may apply and is incorporated by reference where required under GDPR.

10. Data Retention & Deletion

Content may be retained only for as long as necessary to provide the Service or comply with legal obligations. You remain responsible for exporting and backing up your data.

11. Fees & Payments

Fees are charged as indicated at purchase. Except where required by law, all payments are non-refundable once access is granted.

12. Disclaimer

The Service is provided "as is" and "as available". We make no warranties regarding accuracy, completeness, or legal validity of generated documents.

13. Limitation of Liability

To the maximum extent permitted by law, InvoxZero shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, data, or business.

Our aggregate liability shall not exceed the amounts paid by you to InvoxZero in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless InvoxZero from any claims, penalties, fines, or damages arising from your Content, invoices, or violation of applicable laws.

15. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control.

16. Governing Law

These Terms are governed by the laws of Ireland. Courts of Ireland have exclusive jurisdiction.
